Mutual Non-Disclosure Agreement

This page reproduces Mapsoft's standard mutual (bilateral) NDA in full so you can review the terms before signing — but we're equally happy to sign your own NDA if your legal team prefers to work from an in-house template. Parties
This agreement is made between Mapsoft Computer Services Limited of Ealing Cross, 85 Uxbridge Road, London W5 5BW, United Kingdom (“Mapsoft”) and [Counterparty legal name] of [Counterparty address] (“Counterparty”) entered into on [Date].
In consideration of the mutual promises and covenants contained in this Agreement the parties hereto agree as follows.
Definitions
‘Discloser’ shall be the party that discloses the Confidential Information as defined below to Receiver.
‘Receiver’ shall be the party that receives the Confidential Information as defined below from the Discloser.
‘Confidential Information’ means written or oral non-public information that Discloser designates as being confidential. Confidential Information includes, without designation or limitation, Discloser's product(s) and information relating to Discloser's released or unreleased software products. Receiver may disclose Confidential Information as required by law, deposition, interrogatory, subpoena, court or government or judicial order, civil investigative demand or similar process provided. Receiver, if legally permitted to do so, gives Discloser prompt notice of such order and complies with any protective order (or equivalent) imposed on such disclosure.
‘Confidential Materials’ shall mean all tangible materials containing Confidential Information including without limitation written or printed documents and computer disks or tapes, whether machine or user-readable.
Restrictions
Receiver shall not disclose any Confidential Information to third parties for five (5) years following the date of its disclosure by Discloser to Receiver.
This restriction shall not apply to:
- Information already in the public domain, other than through a breach of this Agreement.
- Information already known to the Receiver (which can be shown by written evidence), or obtained from a third party who is free, to the reasonable belief of the Receiving Party, to disclose this information.
- Information independently developed by the Receiver.
Receiver shall take reasonable security precautions to keep confidential the Confidential Information.
Receiver may not reverse-engineer, decompile or disassemble any software disclosed to Receiver.
No license to the other party, under any trademark, patent or copyright, or applications which are now or may hereafter be owned by the transmitting party, is either granted or implied by the conveying of information to the receiving party.
Miscellaneous
All Confidential Information and Materials are and shall remain the property of the transmitting party and shall be returned upon written request.
Signature
In witness thereof of the terms and conditions of this Agreement both parties hereto have executed this Agreement.

Using Your Own NDA Instead
If your organisation has its own NDA template — mutual or one-way — we're happy to consider and sign that instead. Many of our enterprise customers prefer to work from a template their legal team has already approved, and we have no objection to doing so for standard confidentiality terms. Send the document to legal@mapsoft.com and we'll review and return a signed copy, typically within one business day. If anything in your draft needs discussion, we'll come back with redlines rather than insisting on our own template.
